Terms and Conditions for Paid Digital Courses and Memberships

Welcome to UChapter2! These Terms and Conditions (“Terms”) govern your use of our paid digital courses and memberships (“Services”). By purchasing, accessing, or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

1. General

2.2. Pricing: Prices for our Services are subject to change without notice. We reserve the right to modify or discontinue the Services at any time.

3. Access and Use of Services

3.1. License: Upon purchase, we grant you a limited (7 day access), non-exclusive, non-transferable license to access and use the digital courses and memberships for your personal, non-commercial use.

3.2. Restrictions: You agree not to:

Share your account with others.

Copy, distribute, or disclose any part of the Services in any medium.

Reverse engineer, decompile, disassemble, modify, or create derivative works based on the Services.

3.3. Availability: We strive to provide continuous availability of our Services, but we do not guarantee uninterrupted access. We may need to perform maintenance or updates that may temporarily disrupt your access.

4. Intellectual Property

4.1. Ownership: All content, materials, and services provided by us, including but not limited to text, graphics, logos, images, and software, are the property of UChapter2 or our licensors and are protected by intellectual property laws.

4.2. Use of Content: You may not use any of our content for commercial purposes without our prior written consent.

5. Termination

5.1. Termination by You: You may terminate your account at any time by contacting us at bluebeamsupport@uchapter2.com. No refunds will be provided for any unused portion of the Services.

5.2. Termination by Us: We reserve the right to terminate or suspend your account and access to our Services at our sole discretion, without notice, if we believe you have violated these Terms or engaged in fraudulent or illegal activities.

6. Disclaimer of Warranties and Limitation of Liability

6.1. Disclaimer: Our Services are provided on an “as-is” and “as available” basis. We make no warranties, express or implied, regarding the Services, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability: To the fullest extent permitted by law, UChapter2 shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use of or inability to use the Services; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any interruption or cessation of transmission to or from the Services; (d) any bugs, viruses, Trojan horses, or the like that may be transmitted to or through our Services by any third party; (e) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Services; and/or (f) the defamatory, offensive, or illegal conduct of any third party.

7.1. Governing Law: These Terms shall be governed by and construed in accordance with the laws of Minnesota, without regard to its conflict of law principles.

7.2. Dispute Resolution: Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration. You agree to waive any right to a jury trial or to participate in a class action.
